Boise State University
ARTICLE I – Name
The name of this organization shall be: The Human Resource Association (HRA) of Boise State University.
ARTICLE II – Purpose
Section 1: The objective of this Chapter shall be to encourage and give recognition to scholastic and professional excellence in the field of Human Resource.
Section 2: The Chapter will function as a student organization at Boise State University. This means supporting the Constitution and By-Laws of Boise State University requirements thereof. The chapter will be responsible for a continued affiliation always in a manner in good terms with Boise State University.
ARTICLE III – Affiliation
Section 1: This organization shall operate according to the regulations and policies of Boise State University and the Constitution of the Associated Students of Boise State University and in compliance with all local, state, and federal laws.
Section 2: This organization shall adhere to the regulations and Constitution of the national organization of The Society for Human Resource Management and the Human Resource Association of Treasure Valley that do not conflict with the regulations and policies of Boise State University and the Constitution of the Associated Students of Boise State University.
ARTICLE IV – Nondiscrimination
This organization shall not discriminate on the basis of race, color, creed, national origin, gender, age, physical impairment, gender identity, or sexual orientation.
ARTICLE V – Members
Section 1: All officers and voting members of this organization shall be full-fee paying undergraduate or graduate students of Boise State University and current on membership dues. Members of the organization shall be voluntary participants in the organization’s activities.
Section 2: Associate members will be faculty or staff at Boise State University and business persons selected from the community as described in the bylaws. Associate members shall not be able to vote or hold office.
Section 3: Part-time fee paying students shall not be allowed to vote or hold office.
Section 4: At least fifty-one percent (51%) of the total membership shall be full fee paying students.
ARTICLE VI – Meetings
Section 1: All active and voting student members present at a Chapter meeting shall have full and complete voting power at such a meeting.
Section 2: Quorum: A quorum shall consist of twenty-five percent (25%) of all active, voting student members. All action of such a quorum shall be legal and binding upon the Chapter and its memberships. All motions, except those dealing with amendments, removal of officers, and removal of members shall require a simple majority vote of the quorum to pass.
Section 3: Parliamentary Authority: The Constitution of this organization will be the supreme authority in parliamentary procedure at all meetings.
Section 4: Voting Percentages: The Constitution may be amended by an affirmative vote of at least two-thirds (2/3) of the total active, voting student membership. All motions dealing with amendments or the removal of officers will require a two-third (2/3) majority vote of the total voting membership.
Section 5: There shall be no provisions for Proxy Voting.
Section 6: Frequency of meetings: This organization will have meetings at least four (4) times per semester. The presiding officer or a majority of the Executive Committee may call emergency meetings. Written notice of meetings shall be given to all active members at least forty-eight (48) hours in advance.
ARTICLE VII – Officers
Section 1: Qualifications: All officers must be full-fee paying students at Boise State University and must maintain a minimum of 2.00 cumulative GPA. The officers of this organization shall consist of the following:
President
Vice-President
Chief Financial Officer (CFO)
Chief Operating Officer (COO)
Director of Recruitment and Activities (DRA)
Merit Award and Achievements Officers (MAO)
The Executive Committee shall be composed of these officers and such other officers who may be appointed or elected under the creation of any future office as deemed necessary by the Executive Committee. Other offices may be created for the period the office is desired, up to one (1) year. The office will be terminated with expiration of the term for the year’s officers.
Section 2: Any active voting member shall be eligible for any office except President, in which case, a candidate must have been an active member in the Chapter for a minimum of one (1) semester and must be available to serve for at least one (1) term.
Section 3: Term of office: An officer shall serve for one calendar year from the time of installation to office, or until his/her successor is appointed and/or elected.
Section 4: Duties: The duties of the officers shall be as follows:
President:
Clause 1: The President shall be the chief executive officer of the organization and shall preside over all executive and general membership meetings.
Clause 2: The President must report to the Student Involvement and leadership center within two (2) weeks after the beginning of the fall semester, and within ten (10) days of any election, the names of all officers of the organization and other information that the Student Activities staff request, or by the deadlines set forth by BSU.
Clause 3: The President will be responsible for recommending amendments to the By-Laws of this organization and presenting them for approval of the quorum of voting student members at any business meeting.
Clause 4: The President will work in conjunction with the Chief Operating Officer to record, maintain, and submit the National Recognition Application and with the Chief Financial Officer and advisor to prepare the ASBSU request for funding.
Vice-President:
Clause 5: The Vice-President shall be responsible for making room and special arrangements for general and special meetings.
Clause 6: The Vice-President shall be responsible for making arrangements for speakers at the general meeting.
Clause 7: The Vice-President shall preside in the President’s absence.
Chief Financial Officer (CFO):
Clause 8: The CFO will be responsible for handling funds of this organization and shall provide an accounting of revenues and expenses upon request at any organizational meeting and shall assist the president and advisor in preparing the ASBSU request for funding.
Clause 9: The CFO shall preside in the absence of the President and Vice-President.
Chief Operating Officer (COO):
Clause 10: The COO shall assume responsibility of acquiring and keeping all national report forms, and submitting these forms promptly as required by the National organization.
Clause 11: The COO shall maintain a complete list of all active members.
Clause 12: The COO shall keep records of all meetings by taking minutes at all meetings.
Clause 13: The COO shall be responsible for all correspondence of this organization.
Clause 14: The COO shall preside in the absence of the President, Vice-President’s, and Chief Financial Officer.
Director of Recruitment and Activities (DoRA):
Clause 15: The DoRA shall be responsible for coordinating and directing all efforts to recruit for new members.
Clause 16: The DoRA shall be responsible for coordinating and directing all fundraising efforts and activities or functions.
Clause 17: The DoRA shall preside in the absence of the President, Vice-President, Chief Financial Officer, and Chief Operations Officer.
Merit Award & Achievement Officer (MAO):
Clause 18: The MAO will work in conjunction with the President, Chief Operating Officer, and Director of Recruitment and Activities in recording, preparing, and submitting the Chapter’s National Recognition Application.
Clause 19: The MAO will work in conjunction with the President in preparing and submitting the chapter’s application for any ASBSU award’s the club may qualify for.
Clause 20: The MAO aids and assists the Director of Recruitment and Activities in fulfilling any needs that may arise.
Clause 21: The MAO shall preside in the absence of the President, Vice-President, Chief Financial Officer, Chief Operations Officer, and Director of Activities and Recruitment.
ARTICLE VIII – Elections
Section 1: Time and type of elections: General Elections will be held in the fall and spring semester for offices that have been vacated due to the expiration of the term of office or resignation. The term of office shall be one (1) year. Special elections shall be held when an office is vacated in midterm.
Section 2: The election for the individual offices shall be voted upon separately. Officers shall be elected in the following order: President, Vice-President, Chief Financial Officer, Chief Operations Officer, Director of Recruitment and Activities, and Merit Award & Achievements Officer.
Section 3: Form of vote: Voting for officers shall be by a show of hands.
Section 4: The candidate receiving a majority of votes on the first ballot for an office shall be declared elected to that office. In the event of a tie, subsequent ballots shall be cast by the active, voting members in attendance until one (1) candidate receives a majority.
Section 5: In the event a new office is created or a vacancy occurs in an existing office, a special election may be held at a Chapter meeting at which a quorum is present, except for the President’s position, and then in such a case, selection will be held between the three (3) officers positions to fill the President’s position and another member will be elected to fill the successive officer’s position.
ARTICLE IX – Removal of Officers
Section 1: Grounds for removal: Any officer not fulfilling his/her duties as outlined in the Constitution, Article VII, Section 4, or By-Laws of the Chapter to the satisfaction of the voting student members may be removed from office. A two-third (2/3) majority vote of the total voting membership shall be required for removal of any officer.
Section 2: Notice of charges: The motion to remove the officer from his/her position must be in writing and presented to the voting student members at least two (2) weeks before the meeting at which time the removal is voted upon.
Section 3: Right to a fair hearing: The officer subject to removal shall have the right to present his/her case to the membership at the meeting in which the voting for removal is to take place.
Section 4: Right to appeal: Appeals relating to the removal of officer shall be done through the ASBSU Judiciary. Appeals must be made within two (2) weeks after the vote for removal has taken place.
Section 5: Form of vote: All elections under this Article shall be done by secret ballot.
ARTICLE X – Removal of members
Section 1: Grounds for removal: Any member not meeting the requirements as outlined in the Constitution of this organization may be removed from membership. A majority vote of the total voting membership shall be required for removal of any member.
Section 2: Notice of charges: The motion to remove a member from his/her position must be presented in writing to the total voting membership at least two (2) weeks before the meeting at which the removal will be voted on.
Section 3: Right to a fair hearing: The member subject to removal shall have the right to present his/her case to the membership at the meeting in which the voting for removal is to take place.
Section 4: Form of vote: All elections under this Article shall be done by secret ballot.
Section 5: Right to appeal: Appeals relating to the removal of a member shall be done through the ASBSU Judiciary. Appeals must be made within two (2) weeks after the vote for removal has taken place.
ARTICLE XI – Advisor
Section 1: This organization shall annually designate a member of the faculty/staff at Boise State University to act in capacity as advisor. Said advisor shall have the title of Faculty Vice-President and shall have no voting privileges.
Section 2: Duties: The advisor shall assist the President and the CFO in preparation of request for funding from the Associated Students of Boise State University, and shall sign said requests.
Section 3: The advisor shall consult with the officers about the organization’s activities in compliance with Boise State University Policies.
ARTICLE XII – Financial Support
The finances for this club will come from fund raising projects, individual contributions, dues, the Associated Students of Boise State University, contributions from the business community, and from Boise State University when appropriate.
ARTICLE XIII – Amendments
Section 1: A proposal to amend this constitution must be presented to the active voting members in the form of a written motion at least one (1) week before it is voted upon.
Section 2: A proposed amendment must be adopted in accordance with Article VI, Section 4, and must be approved by the Associated Students of Boise State University Judiciary to become effective.
